These Terms & Conditions (“Terms”) govern your access to and use of www.uSpeekNow.com and all related services, dashboards, AI tools, and applications (collectively, the “Platform”), owned and operated by Myjen AI Private Limited (“uSpeekNow,” “uSpeek,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

• Account – A registered user profile created to access the Platform.
• Client – An individual or organization purchasing a subscription.
• User – Any individual accessing the Platform.
• Uploads – Videos, images, audio, or materials submitted to the Platform.
• Results – AI-generated analytics, reports, transcripts, scores, or feedback derived from Uploads.
• Subscription Period – The active paid duration of access (monthly, quarterly, semi-annual, or annual).
• Services – AI-based communication analysis, scoring, dashboards, reporting tools, and related features.

2. Acceptance of Terms

By registering, subscribing, or using uSpeekNow:

• You confirm you are legally competent to enter into this agreement.
• You accept these Terms in full.
• You agree to comply with all applicable laws and regulations.

We may update these Terms at any time. Continued use after updates constitutes acceptance.

3. Account Registration & Security

You agree to:

• Provide accurate and complete information.
• Maintain confidentiality of login credentials.
• Be fully responsible for all activity under your account.

uSpeekNow is not responsible for loss caused by unauthorized account access. We may suspend or terminate accounts that provide false information or violate these Terms.

4. Permitted Use

You agree NOT to:

• Reverse engineer, copy, replicate, or exploit the Platform.
• Access the system through unauthorized means.
• Use the Platform for unlawful, defamatory, abusive, or harmful purposes.
• Share login credentials.
• Interfere with system security or performance.

Violation may result in immediate termination without refund.

5. Uploads & User Content

5.1 Your Responsibility

You represent and warrant that:

• You own or have legal rights to upload the content.
• Your Uploads do not infringe intellectual property or privacy rights.
• Your Uploads do not contain unlawful, abusive, harmful, explicit, or offensive material.

We reserve the right to remove any Upload that violates these Terms.

6. Ownership & Intellectual Property

6.1 Your Content

You retain ownership of your Uploads. However, by uploading, you grant uSpeekNow a worldwide, non-exclusive, royalty- free license to:

• Process
• Analyze
• Store
• Display
• Improve our AI models
• Develop new features

This license is strictly for operating and improving the Platform.

6.2 AI Results Ownership

All AI models, scoring systems, algorithms, and system architecture remain the exclusive intellectual property of Myjen AI Private Limited. Users are granted a limited, non-transferable right to:

• View
• Download
• Share Results for lawful purposes (including social media or internal reports)

You may not modify, misrepresent, or manipulate AI Results.

6.3 Platform Ownership

All trademarks, logos, software, code, design, and content belong to uSpeekNow. No rights are granted except those explicitly stated.

7. Subscription, Fees & Payments

7.1 Payment Terms

• Fees are payable in advance.
• Indian clients are billed in INR.
• International clients may be billed in USD.
• All fees are non-refundable unless explicitly stated in a separate policy.

7.2 Non-Cancellable Fees

Your payment obligations are non-cancellable once the account is activated.

7.3 Taxes

All applicable GST, VAT, or other taxes are the responsibility of the Client unless stated otherwise.

8. Termination

We may suspend or terminate access:

• For violation of these Terms.
• For misuse of the Platform.
• For non-payment.
• For legal compliance reasons.

Upon termination:

• Access to the Platform ceases immediately.
• We are not obligated to store or retrieve Uploads or Results.
• Outstanding fees remain payable.

9. Third-Party Services

The Platform may rely on or integrate with third-party providers such as:

• Cloud hosting providers
• Payment gateways
• AI infrastructure providers

Your use of such services may also be subject to their respective terms. We are not liable for third-party service disruptions.

10. Disclaimer – No Guarantees

The Platform is provided “AS IS” and “AS AVAILABLE.” We do not guarantee:

• Employment outcomes
• Interview success
• Specific performance improvement
• Error-free operation
• Continuous availability

AI-generated Results are analytical tools and should not be treated as professional certification or final evaluation. Use of the Platform is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law: uSpeekNow shall not be liable for:

• Indirect or consequential damages
• Loss of profits
• Loss of data
• Business interruption
• Reputational loss

Our total liability shall not exceed the total amount paid by you in the preceding three (3) months.

12. Indemnification

You agree to indemnify and hold harmless uSpeekNow, its directors, employees, partners, and affiliates from any claims arising from:

• Your Uploads
• Your misuse of the Platform
• Violation of these Terms
• Infringement of third-party rights

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

14. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, internet outages, cyber-attacks, government actions, or third-party service disruptions.

15. Entire Agreement

These Terms constitute the entire agreement between you and uSpeekNow and supersede all prior understandings. If any provision is found invalid, the remaining provisions remain enforceable.

16. No Medical or Legal Use

The AI-generated reports, analytics, scores, transcripts, and feedback provided by uSpeekNow are intended solely for educational, self-improvement, training, and upskilling purposes. These reports must not be used as medical, psychological, diagnostic, therapeutic, or legal evidence under any circumstances. uSpeekNow does not provide medical advice, psychological assessment, legal opinion, or certified evaluation services. Any decisions made based on the Platform’s results are made at the user’s sole discretion and responsibility.
